Dec 3, Item by Item: Three Ballot Items, a $158.36 Billion Comp Figure, and Realized Pay of $0

Tesla's definitive proxy, filed October 19, 2026, sets the annual meeting for December 3 at 3:00 PM CT at Gigafactory Texas, record date October 13. The ballot has three items: re-electing Musk, Denholm and Straubel; an advisory say-on-pay; and ratifying PwC. The same filing prints $158.36 billion as the accounting value of Musk's 2025 award — while Tesla has reported his realized 2025 pay as $0, with none of 12 tranches earned.

This site’s proxy page established what December 3 is not: not a merger vote, whatever the week’s headlines imply. This page is the companion — what December 3 is, item by item, from Tesla’s definitive proxy statement, filed October 19, 2026 and reported the same day by Reuters and TeslaNorth. Every figure below is the filing’s, attributed in place; where coverage of the filing disagrees with the filing, the filing governs and the disagreement is printed.

Confirmed — the meeting, as filed

  • Date: December 3, 2026.
  • Time and place: 3:00 PM CT, Gigafactory Texas.
  • Record date: October 13, 2026 — the date that fixes which shareholders hold votes.

One stray figure is flagged rather than repeated: a single earnings-preview source gives the meeting as “around December 6.” The filed proxy says December 3, every other account agrees with the proxy, and December 3 is the date used on this page — with the December 6 print noted here because it is in circulation.

Item 1 — re-elect the Class I directors

The first ballot item re-elects three directors to three-year Class I terms: Elon Musk, Robyn Denholm, and J.B. Straubel. That is the whole item — a board-class election of the kind held every year, notable this year only because of who the first name on it is and what else he spent the week discussing. The merger is not in this item; no director election could put it there.

Label: Primary — proxy statement, as reported by TeslaNorth and Reuters (Oct 19).

Item 2 — say-on-pay, and the $158.36 billion figure

The second item is an advisory vote on 2025 executive compensation — say-on-pay. It carries the number that will be misreported most often between now and December, so the filing’s own context is printed in full:

  • The proxy’s summary compensation table shows Musk’s 2025 CEO Performance Award — approximately 423.7 million restricted shares — at an accounting value of $158.36 billion.
  • Tesla has separately reported Musk’s realized 2025 pay as $0.
  • The reason both numbers are true is in the award’s structure: 0 of its 12 tranches were earned. Each tranche is gated on market-cap steps running from $2 trillion to $8.5 trillion; until a step is reached, the shares are an accounting entry, not pay. Shares that are earned are generally held for five years.

The $158.36 billion is therefore a valuation of an unearned award at a moment in time — the largest number in the filing and the least spendable one. Any account that prints it as income is grading the accounting table as a paycheck; any account that prints the $0 without the tranches is skipping why the award exists. Both figures are Tesla’s. The filing contains them pages apart.

Label: Primary — proxy compensation table and Tesla’s reported realized-pay figure.

Item 3 — ratify the auditor

The third item ratifies PricewaterhouseCoopers (PwC) as Tesla’s auditor. It is the routine item on nearly every public-company ballot, and it completes the count: three items — a board election, an advisory pay vote, an auditor ratification. Nothing else is in front of shareholders on December 3. In particular, there is no merger proposal; a Tesla–SpaceX combination would require its own approval process, whose arithmetic is laid out on the vote math page.

Label: Primary — proxy statement.

The fine print, where the real record sits

  • The 2018 award is closed out. Musk exercised all 303.96 million options from his 2018 award on June 16, 2026. The exercise left 286.4 million restricted shares vesting January 19, 2028 — the block of stock whose treatment moves published net-worth figures by roughly $100 billion depending on whether a tracker counts it.
  • Ownership and pledging. The proxy puts Musk’s Tesla ownership at roughly 20%, including 207.5 million pledged shares. Tesla’s pledging policy caps his share-backed borrowing at the lesser of $3.5 billion or 25% of the shares’ value.
  • Retail voting. Tesla received an SEC no-action letter covering a voluntary retail-voting framework — process machinery aimed at the turnout problem that dominates the company’s shareholder arithmetic.
  • A proposal that is not there. The board dropped its binding supermajority-rules proposal; the 2025 version of that measure drew only about 39.4% support. Its absence is a decision, and the filing records it by omission.
  • Abstentions count against. On the mechanics that matter, an abstention functions as a vote against — one more reason the percentages in the fine print are printed here rather than summarized.

Label: Primary — proxy statement, as decoded by Reuters (Oct 19), TeslaNorth (Oct 19), Nation Press, and the Rocks-on-Galaxy proxy decode. The net-worth sensitivity of the restricted shares is the trackers’ arithmetic, Reported.

What December 3 decides, and what it cannot

December 3 decides who sits on Tesla’s board for the next three-year class term, records an advisory verdict on 2025 pay, and ratifies the auditor. It cannot approve, reject, or schedule a SpaceX merger — that question is one committee determination and one separate vote away, at minimum. The meeting matters to the merger story for a different reason: it is the first time Tesla’s shareholders vote on anything since the committees were announced, and the only document they are voting under is this one.
